Terms of Service

These Terms of Service ("Terms") govern your access to and use of Estora Inventory, a web-based inventory management application operated by Estora, Inc. ("Estora," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Acceptance of Terms
By accessing or using Estora Inventory (the "Service"), you confirm that you are at least 18 years old, have the legal authority to enter into these Terms, and — if acting on behalf of a business — have the authority to bind that business to these Terms. "You" and "your" refer to you individually and, if applicable, the business you represent.
2. Description of Service
Estora Inventory is a cloud-based inventory management platform for food service businesses. The Service includes inventory tracking, suggested ordering, vendor management, prep scheduling, usage tracking, reporting, and an AI-powered assistant. Features may vary by subscription tier.
We may update, modify, or discontinue features of the Service from time to time. We will provide reasonable notice of material changes.
3. Account Registration & Responsibilities
- Accurate information: You must provide accurate and complete information when creating an account. You are responsible for keeping your account information current.
- Account security: You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account. Notify us immediately at info@estora.tech if you suspect unauthorized access.
- Team accounts: If you invite team members (managers, shift leads, staff) to your organization's account, you are responsible for their use of the Service and for managing their access and permissions through the role-based access controls provided.
- One organization per account: Each account belongs to a single business organization. You may not share account credentials across unrelated businesses.
4. Subscription & Billing
Subscription tiers
The Service is offered through paid subscription tiers (Core, Pro, Multi-Location, and Enterprise), each with different features and location limits. Current pricing and feature details are available on our website.
Free trial
New accounts receive a 14-day free trial with full access to the Service. No credit card is required to start a trial. At the end of the trial, you must subscribe to a paid plan to continue using the Service.
Billing and payment
- Subscriptions are billed monthly or annually, depending on your selection.
- Payments are processed through a third-party payment processor. By subscribing, you authorize us to charge your designated payment method on a recurring basis.
- All fees are stated in US dollars and are exclusive of applicable taxes.
Auto-renewal
Subscriptions automatically renew at the end of each billing period (monthly or annually) unless you cancel before the renewal date. We will send a renewal reminder at least 7 days before your annual subscription renews.
Cancellation
- You may cancel your subscription at any time from your account settings or by contacting info@estora.tech.
- Cancellation takes effect at the end of your current billing period. You retain access to the Service until then.
- We do not provide prorated refunds for partial billing periods, except where required by law.
Price changes
We may change subscription prices with at least 30 days' notice. Price changes take effect at your next billing cycle after the notice period. If you do not agree to a price change, you may cancel before it takes effect.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
- Attempt to gain unauthorized access to the Service, other accounts, or our systems and infrastructure.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
- Scrape, crawl, or use automated means to extract data from the Service, except through our official API if included in your subscription tier.
- Interfere with or disrupt the Service, servers, or networks connected to the Service.
- Upload or transmit malicious code, viruses, or any harmful content.
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
- Use the Service to store or process data that you do not have the right to use.
- Resell, sublicense, or provide access to the Service to third parties without our written consent.

6. Intellectual Property
- Our platform: The Service, including its design, code, features, documentation, and branding, is owned by Estora and protected by intellectual property laws. These Terms do not grant you any ownership rights to the Service.
- Your content: You retain all ownership rights to the data you input into the Service (inventory records, vendor information, orders, prep schedules, and other business data). We do not claim ownership of your content.
- Feedback: If you provide suggestions, ideas, or feedback about the Service, we may use them without obligation to you.
7. Customer Data
- Ownership: You own your data. We do not sell it, use it for advertising, or share it with third parties except as described in our Privacy Policy.
- License to operate: By using the Service, you grant us a limited license to store, process, display, and transmit your data solely as necessary to provide and improve the Service. This license terminates when your data is deleted.
- Data export: You may export your data at any time using the export features available within the Service.
- Data deletion: Upon account deletion, we will remove your data in accordance with our Privacy Policy (within 90 days, subject to backup rotation and legal obligations).
8. AI Features Disclaimer
The Service includes an AI-powered assistant that provides suggestions related to inventory management, ordering, and operations.
- Not professional advice: AI-generated outputs are informational suggestions only. They do not constitute professional, financial, food safety, or legal advice. You are responsible for reviewing and validating all AI suggestions before acting on them.
- No guarantee of accuracy: AI outputs may be incomplete, inaccurate, or unsuitable for your specific circumstances. Estora does not guarantee the accuracy, reliability, or completeness of any AI-generated content.
- Your responsibility: Decisions based on AI suggestions — including ordering, inventory adjustments, and operational changes — are your responsibility. Estora is not liable for losses arising from reliance on AI-generated outputs.
- Third-party processing: AI features may involve sending your queries and relevant inventory context to third-party AI providers. See our Privacy Policy for details.
9. Limitation of Liability
To the maximum extent permitted by law:
- Estora's total liability to you for all claims arising from or related to the Service is limited to the amount you paid to Estora in the 12 months preceding the claim.
- Estora is not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities — even if we were advised of the possibility of such damages.
- Service availability: We strive for high availability but do not guarantee uninterrupted or error-free operation of the Service. Scheduled maintenance, network issues, and force majeure events may cause temporary interruptions.
Some jurisdictions do not allow the exclusion of certain warranties or limitation of certain damages. In those jurisdictions, the above limitations apply to the fullest extent permitted by law.
10. Indemnification
You agree to indemnify and hold harmless Estora, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:
- Your use of the Service.
- Your violation of these Terms.
- Your violation of any applicable law or regulation.
- Any claim that your data infringes or violates the rights of a third party.
11. Termination
- By you: You may cancel your subscription and close your account at any time.
- By us: We may suspend or terminate your access to the Service if you violate these Terms, fail to pay subscription fees, or if we reasonably believe your use poses a risk to the Service or other users. We will provide notice before termination where practicable.
- Effect of termination: Upon termination, your right to use the Service ends. You may request a data export before your account is deleted. We retain your data for 90 days after termination to allow for data export or reactivation, after which it is deleted per our Privacy Policy.
12. Governing Law & Dispute Resolution
- Governing law: These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions.
- Informal resolution: Before filing a formal claim, you agree to contact us at info@estora.tech to attempt to resolve the dispute informally. We will make a good-faith effort to resolve it within 30 days.
- Arbitration: If informal resolution fails, disputes will be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration will take place in Delaware or remotely, at your election.
- Class action waiver: You agree to resolve disputes with Estora on an individual basis. You waive any right to participate in a class action, class arbitration, or representative proceeding.
- Small claims exception: Either party may bring claims in small claims court if the claim qualifies.
13. Changes to Terms
We may update these Terms from time to time. When we make material changes, we will:
- Update the "Last updated" date at the top of this page.
- Notify you by email or through a prominent notice within the Service at least 30 days before the changes take effect.
Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, you may cancel your subscription before they take effect.
